The motion becomes a decision
A motion is recorded in a meeting or signed as a consent resolution, and the butler creates decision D-2026-0042 with mover, seconder, votes by director and any recusal. - Step 2
Nothing spends without one
Every payment, contract, delegation and budget line must name a decision, a budget authority or a delegation with a dollar limit. The database refuses otherwise. - Step 3
The chain answers the question
Ask to see every decision about the roof and get the chain: the original resolution, the one that superseded it, the award, the change order.

Can a decision be edited after it is adopted?
No. Adopted decisions are immutable. A correction is a new decision that references the old one.
What if a director has a conflict?
The butler prompts on the agenda item, records the declaration, enforces recusal and recalculates quorum, and writes it into the minutes.
What about decisions made by email between meetings?
Capture them as consent resolutions with e-signature, and ratify at the next meeting. The scorecard shows the ratio so owners can see when too much happens outside meetings.
